These Terms of Use ("Terms") govern your access to and use of the website at nexilum.ca ("Site"). Please read them before using the Site.
1. Acceptance
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site. Your continued use of the Site after updated Terms are posted constitutes your acceptance of the updated version.
2. Who we are
The Site is operated by JPL Consulting Services and Web Solutions Inc. ("JPL," "we," "us"), a Quebec company (NEQ 1174574369). Nexilum is a delivery brand of JPL Digital Growth Group, a registered business name of JPL Consulting Services and Web Solutions Inc. You can reach us at info@nexilum.ca.
3. Informational purpose and no professional advice
The Site describes technology delivery services offered under the Nexilum brand and provides general information about our approach and capabilities. Nothing on the Site is professional advice of any kind, including legal, financial, technical, or procurement advice. Nothing on the Site constitutes a binding offer to provide services. Any engagement with Nexilum requires a separate written agreement signed by authorized representatives of both parties.
4. Intellectual property
All content on the Site, including text, graphics, logos, and design elements, is owned by or licensed to JPL Consulting Services and Web Solutions Inc. and is protected by applicable Canadian and Quebec intellectual property laws. The Predixion Tech name and any Predixion Tech marks referenced on the Site belong to Predixion Tech, an independent company, and are displayed with their permission. Nothing in these Terms grants you any right in the marks of either JPL or Predixion Tech.
You may view, print, and download Site content for your own personal or internal business reference only. You may not reproduce, modify, distribute, publicly display, or create derivative works from the Site's content without our prior written consent.
5. Permitted use
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- use the Site in any way that violates any applicable law or regulation;
- attempt to gain unauthorized access to any part of the Site, our servers, or any connected system;
- transmit unsolicited commercial messages through the Site's contact form or any other feature;
- use automated tools (crawlers, scrapers, bots) to extract Site content in bulk or in a way that impairs its function; or
- interfere with or disrupt the integrity or performance of the Site.
6. Third-party links and services
The Site links to third-party websites, including predixiontech.com and a scheduling service operated by Calendly. Those sites are operated by independent parties under their own terms and privacy policies. We do not control, and are not responsible for, the content, accuracy, security, or practices of any third-party site, and a link does not imply our endorsement. When you book a call through our Calendly link, Calendly's own terms and privacy policy govern that interaction, and Calendly acts as an independent data controller.
7. No warranties
To the fullest extent permitted by law, the Site and its content are provided "as is" and "as available," without warranty of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any information on the Site is current, complete, or accurate. This disclaimer does not affect any rights you have that cannot be excluded under applicable law, including the Civil Code of Quebec.
8. Limitation of liability
Nothing in these Terms limits or excludes our liability for any of the following, and any clause that purports to do so is void:
- bodily injury or moral injury caused by our fault;
- material damage caused by our intentional fault or gross fault; or
- any other liability that cannot be limited or excluded under the Civil Code of Quebec or other applicable law.
Subject to the paragraph above, JPL and its directors, officers, employees, and agents are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or your reliance on any information on it, including loss of business opportunity, revenue, or data. To the extent any residual liability of ours arises in connection with your use of the Site and is not excluded above, our total aggregate liability to you is limited to one hundred Canadian dollars (CAD $100).
9. Engagements governed by separate agreements
These Terms govern your use of this informational website only. They do not create any engagement, retainer, scope of work, or advisory relationship. Any engagement for technology delivery services under the Nexilum brand is governed exclusively by the written agreement signed for that specific engagement. If these Terms and a signed engagement agreement conflict, the signed agreement governs.
10. Privacy
Our collection and use of personal information through this Site is described in our privacy notice, which is incorporated into these Terms by reference. The French version is available at nexilum.ca/fr/confidentialite/.
11. Language
These Terms are available in French at nexilum.ca/fr/conditions/. Both language versions are intended to be consistent. In the event of any inconsistency between the English and French versions, the French version governs for parties in Quebec, in accordance with the Charter of the French Language (RLRQ, c. C-11).
12. Changes to these terms
We may update these Terms at any time. When we do, we will update the effective date at the top of this page. Your continued use of the Site after updated Terms are posted constitutes your acceptance of the changes.
13. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the applicable federal laws of Canada, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or your use of the Site that is not resolved informally shall be submitted exclusively to the courts of the judicial district of Charlevoix, Province of Quebec.
